Introduction

Liz helps public and private companies raise money, comply with complex regulations and navigate executive compensation and transition matters. She advises on equity and debt financing transactions, ongoing SEC compliance, stock exchange listing standards, executive compensation planning and disclosure, interactions among boards, executives and shareholders, transactions in securities by insiders, and other corporate governance matters. Liz also has experience with mergers and acquisitions and general corporate and business counseling.

  • Partners with publicly-traded corporations with market capitalization ranging from $20 million to $44.7 billion on ongoing SEC compliance, executive compensation and succession, and corporate governance matters
  • Represented Medtronic, Inc. on public offerings of debt securities, ranging from $1 billion to $3 billion in principal amount
  • Represented Titan Machinery Inc. on a 144A offering of senior convertible notes, in the aggregate principal amount of $150 million
  • Represented Craig-Hallum Capital Group, LLC as underwriter for a $21.3 million follow-on offering of common stock by Datalink Corporation
  • Represented AGA Medical Holdings, Inc. on its $1.1 billion sale to St. Jude Medical, Inc.
  • Represented durable medical products manufacturer on its initial public offering and listing on the Nasdaq Capital Market
  • Represented local private equity fund in a series of investments in a local spa retailer
  • Represented publicly-traded wind energy components manufacturer in numerous strategic acquisitions and securities financing transactions
