Introduction

Brian is a shareholder practicing in the Life Sciences and Corporate/Securities Groups. His work with medical technology companies focuses on mergers and acquisitions, general corporate matters, and representation of closely-held corporations. During the past five years, Brian been lead outside attorney on over 25 medical technology transactions worth over $1 billion in total potential consideration. He has been active on virtually all sides of such transactions, including representation of sellers, buyers, lenders, passive equity investors, management, and special committees.

    • InfluENT Medical’s repose product line for treatment of obstructive sleep apnea in December 2008
    • Pabban Development, Inc. for bone cement delivery system in 2008 (acquisition of assets and intellectual property)
    • NDI Medical in 2008
    • MRI safety patents from Biophan Technologies, Inc. in October 2007
  • Lead outside attorney for Medtronic, Inc. on numerous divestitures. Recent transactions include:
    • Bravo pH monitoring business for diagnosis of GERD to Given Imaging Ltd.
    • Medtronic, Inc. specialty manufacturing business to Sandvik Medical Solutions in 2008
    • Medtronic, Inc. sale of gastroenterology and neurological diagnostic product lines to Alpine Biomed in separate transactions in 2007
  • Lead attorney on acquisitions for Ablenet, Inc. including SoftTouch in 2009 and Tash International, Inc. in 2008
