Jacob brings over a decade of experience assisting clients in the oil and gas, energy, mining and other natural resource industries with a focus on transactions, complex litigation, environmental law and regulatory compliance.
Jacob regularly represents clients in the drafting and negotiating of leases, purchase and sale agreements, exchange agreements, loan documents and other complex commercial agreements in a variety of industries, including oil and gas, mining and commercial real estate.
Jacob also has extensive experience in title examination, drafting title opinions, and conducting due diligence for acquisitions for oil and gas exploration and development, hard-rock minerals, potash, sand, gravel and other industrial minerals located on fee, state, Indian, and federal lands.
As a litigator, Jacob focuses on case management and strategy, motion practice and e-discovery to attain favorable results in matters such as breach of contract, quiet title, wrongful termination and mechanic’s lien cases.
Jacob’s practice also includes assisting businesses with regulatory compliance and administrative matters involving land use and energy and natural resources issues, such as permitting for oil and gas operations, CERCLA, National Environmental Policy Act (NEPA) compliance, site remediation, and hazardous substances.
Drafted amendments and helped clients comply with a carry and earning agreement involving an investment of $300 million from a diversified holding company in exchange for a portion of seller’s interest in productive and exploratory leasehold interests in ongoing representation
Drafted all critical deal documents and handled negotiations for seller in connection with a $60 million carry and earning agreement for the development of oil and gas interests in North Dakota
Lead associate in the purchase of a $5 million commercial space leased to a NASDAQ-listed coffee company
Represented an oil and gas exploration company regarding a dispute as to the interpretation of provisions to a farmout agreement
Conducted environmental due diligence and advise on brownfields redevelopment for corporate mergers and acquisitions
