On October 18, a group of high profile CEOs and institutional investors released version 2.0 of the Commonsense Principles, a set of corporate governance principles for public companies, their boards and their institutional investors. The new version updates the original Commonsense Principles, which were issued in 2016 with the stated goal of offering policies that will help develop long term prosperity for all stakeholders in public companies.
The Commonsense Principles 2.0 provide a number of new or revised recommendations regarding director service, disclosure and voting on takeover defenses, shareholder engagement, interaction between companies and institutional investors regarding proxy proposals, and greater disclosure from asset managers regarding their practices.
