SEC Eyes Hurricane Harvey; Two Technical Reminders for SEC Filers
According to an August 30 press release, the SEC is “closely monitoring the impact of Hurricane Harvey on investors and capital markets … [and] will evaluate the possibility of granting relief from filing deadlines and other regulatory requirements for those affected by the storm.” The press release provides relevant phone numbers and email addresses for SEC filers and other investment professionals affected by Hurricane Harvey to contact the SEC with questions or concerns.
On August 24, the SEC issued a fee advisory, setting the filing fees that public companies and other issuers will pay in fiscal year 2018 to register their securities with the Commission. Effective October 1, 2017, the fees paid under Section 6(b) of the Securities Act of 1933 to register securities will increase from $115.90 per million dollars to $124.50 per million dollars, an increase of 7.4 percent. For example, a company registering $10 million of common stock will see their registration fee increase from $1,159 to $1,245.
Finally, exhibit hyperlinks are now a requirement for many SEC filers. As discussed in a previous Ticker report, on March 1, 2017, the SEC adopted final rules requiring companies that file registration statements or reports subject to the exhibit requirements under Item 601 of Regulation S-K to include a hyperlink to each exhibit listed in the exhibit index of these filings. The final rules took effect on September 1, 2017; however, non-accelerated filers and smaller reporting companies that submit their SEC filings in ASCII format need not comply until September 1, 2018.
