Brendan Mochoruk

Brendan advises private equity funds, portfolio companies, founders and strategic businesses on mergers and acquisitions, private equity investments and other complex corporate transactions.

He regularly represents clients in platform and add-on acquisitions, divestitures, recapitalizations and corporate governance matters across a broad range of industries. Known for his practical, business-focused approach, Brendan serves as a trusted advisor to clients throughout the transaction lifecycle, helping them navigate strategic opportunities and complex legal challenges.

Prior to joining Fredrikson, Brendan practiced corporate law in the Chicago office of Sidley Austin, LLP. Before attending Northwestern University School of Law, he worked as an economic policy researcher first with the White House’s Council of Economic Advisers during the Obama Administration, and then with the Hutchins Center on Fiscal and Monetary Policy in the Economic Studies Division of The Brookings Institution in Washington, D.C.

• Advised a private equity sponsor in its $180 million acquisition of a leading provider of managed IT, cloud communications and cybersecurity services.
• Represented a private equity-backed global provider of customer experience and business process outsourcing solutions in its cross-border acquisition of a company specializing in data annotation and dataset development for artificial intelligence and large language model applications.
• Acted as lead counsel to a private equity sponsor in its platform acquisition of a technology consulting company focused on Microsoft software implementation, training and managed services.
• Represented a private equity sponsor in the sale of its portfolio company, a leading provider of outsourced finance, accounting and fractional CFO services.
• Advised a private equity sponsor in a series of acquisitions that expanded a national provider of building information modeling (BIM), virtual design and construction (VDC) and related consulting services.
• Represented a private equity-backed business in its acquisition of a provider of customer experience and operations support services serving clients in the financial services, e-commerce, SaaS and social media industries.
• Advised a leading provider of insurance and financial services products in its acquisition of an employee communications and engagement technology platform.
• Represented a public international beverage company in a series of strategic brand and asset acquisitions designed to expand its portfolio, market presence and geographic footprint.
