Jake advises clients on both corporate governance and strategic matters relating to mergers, acquisitions, divestitures and enterprise sales.

Jake represents clients, ranging from public companies, private equity firms, and mom-and-pop shops, in all types of business transactions in a variety of industries including software professional services, life sciences, cyber security, adult day health care, manufacturing and construction and special and alternative education. Jake has also represented musical artists in their corporate governance matters relating to negotiation of band member agreements, band entity formation, and brand/royalty management.

Jake takes pride in blending his strategic legal lens with clients’ core business objectives in order to provide practical, business centric, legal advice.   • Represented a Midwest PE Fund in a $42M acquisition of a managed hosting service provider for the WordPress ecosystem.
  • Represented a public company in a $50M divestiture from a consumer marketing business line service of the public company.
  • Represented a national provider of regulatory testing and analytical laboratory services, in successive acquisitions of full-service environmental laboratory services companies with an aggregate value in excess of $220M.
  • Represented a manufacturer of carbide and diamond cutting tools, in its $12M acquisition of a distributor of sharpening and cutting tools for textile, flooring, home manufacturing, recycling metalworking and woodworking.
  • Represented a Midwest PE Fund in its $42M acquisition of a manufacturer of heavy-duty bearing accessories and components.
  • Represented an adult day care center group in successive acquisitions of independent adult day care center companies with an aggregate value in excess of $10M.
  • Represented a California air filtration manufacturer, in its $28M acquisition of a California air filter supplier.
  • Represented a Midwest PE Fund in a $45M acquisition of a data privacy and security IT support services provider; represented the acquired company in successive add-on acquisitions with an aggregate value in excess of $30M.
  • Represented a public company that is a global leader in human capital management (HCM) technology, in its acquisition of multiple HCM technology companies with an aggregate value in excess of $65M.
  • Represented a national provider of commercial kitchen equipment maintenance services, in successive acquisitions of regional HVAC repair, installation, and preventative maintenance service providers with an aggregate value in excess of $30M.
  • Represented a Boston PE Fund’s portfolio company in successive acquisitions of K-12 schools that offer a unique blend of education and therapy with an aggregate value in excess of $80M.
  • Represented a Boston-based PE fund in its $960M sale of a national service provider of kitchen equipment maintenance services and HVAC repair, installation, and preventative maintenance services.
