Overview
Nick uses his experiences in-house and in private practice to support a wide variety of transactions and to provide actionable advice to public and private companies on governance best practices, executive compensation, insider trading and disclosure compliance.
He performs corporate governance for public company entities, including entity formations, mergers, conversions and dissolutions, including as part of complex and multi-step transactions.
Nick has drafted and negotiated primary and ancillary transaction documents for a variety of transactions, including merger agreements, stock and asset purchase agreements, letters of intent, disclosure schedules and NDAs. He regularly prepares operating agreements, bylaws and corporate resolutions. Nick also has experience with cross-border securities transactions including public and private offerings of equity (both common and preferred), and equity-linked securities such as convertible debt and warrants.

- Represented a national bank in connection with a $1.1B automobile loan portfolio securitization and sale.
- Represented purchaser of an international paper manufacturer for the purchase of a U.S. paper mill facility for approximately $140M.
- Represented seller of a $100M physician-owned clinic.
- Represented a national residential HVAC service provider to acquire businesses across the U.S., with an average transaction value of $20M.
- Represented purchaser in acquisition of over 20 new branch locations for a regional grocer.
- Represented various public companies to draft and publish annual and quarterly filings including 10-K, DEF 14A, 8-K and Forms 3 and 4.
