Victoria’s practice focuses on cross-border transactions including mergers and acquisitions, China inbound and outbound direct investments, and regulatory and compliance matters.

Victoria has experience with multiple jurisdictions, including mainland China, Hong Kong and the U.S. She is a trusted advisor to domestic and international companies on a wide range of corporate transactions, including advising on cross-border mergers and acquisitions, banking financing, foreign direct investments, and other general corporate and commercial matters. She has also advised clients on corporate matters in relation to intellectual property, capital markets, technology and data, as well as several disputes across mainland China, Hong Kong, the U.S. and Japan.

M&A

• Advised a UK listed water purifier manufacturing company on its acquisition of an Italian water treatment company.
• Advised a major U.S. listed technology company on its acquisition of 100% shares in a U.S. software company.
• Advised a U.S. dental equipment manufacturing company on its acquisition of a U.S. competitor.
• Advised a U.S. plastics manufacturing company on its acquisition of two Chinese companies.
• Advised a Hong Kong listed Chinese game and fintech company on its acquisition of a Chinese virtual reality game company.
• Advised a Hong Kong listed Chinese reinsurance company on its acquisition of a London headquartered international specialty and reinsurance group from a U.S. listed Massachusetts based insurance company.

Intellectual Property

• Advised a U.S. nutritional supplements producer on various commercial matters and dispute resolutions in relation to their intellectual property in China.
• Advised an Australian footwear and apparel design and manufacturing company on a number of commercial matters and dispute resolutions in relation to their intellectual property in China.
• Advised a U.S. grills manufacturing company on its patent dispute resolutions in China.

Technology and Data

• Advised a U.S. SaaS provider on its entry of business into China, including advising on corporate structuring in mainland China and Hong Kong, telecommunications approvals and registrations, intellectual property, data privacy, licensing and compliance, labor employment, and operation matters in China.
• Advised several major U.S. listed technology companies on data privacy, regulatory and compliance matters, and other corporate and commercial matters in China.

Financing

• Advised a major Hong Kong listed Chinese property developer as borrower on establishing a loan facility in relation to its acquisition of shares in a fellow developer.
• Advised a Guangzhou based investment firm as borrower on establishing a loan facility in relation to its acquisition transaction with a U.S. listed Japanese pharmaceutical company.
• Advised several major Chinese property developers as borrowers on their loan financing.

Capital Markets

• Advised a number of Chinese companies mainly in the real estate sector on high-yield bond offerings pursuant to Regulation S.
