Overview

Lindsey advises public and private clients on sophisticated strategic transactions including finance and securities transactions, business combinations and capital markets transactions, as well as securities reporting, corporate governance and general business matters.

She is dedicated to partnering with clients at all stages of their business lifecycle to advise on a variety of strategic growth opportunities, succession and tax planning, and exit strategies.

Lindsey has represented businesses in a variety of industries, including manufacturing, energy, distribution software and technology, real estate, investment companies, franchise restaurants and business services. She also has significant experience with a broad array of capital markets and financing transactions, including registered and unregistered debt and equity offerings, secured and unsecured debt financings, syndicated and single lender revolving and term loan facilities, real estate and asset-based lending and acquisition financing.

Lindsey combines her finance background with her private practice and in-house experiences to represent clients through complex transactions and support their day-to-day legal needs. She is committed to delivering practical, business-focused solutions tailored to her client’s objectives.

Prior to joining Fredrikson, Lindsey was counsel to a publicly traded REIT advising on securities reporting compliance, capital markets transactions, and board of directors and governance matters. Prior to that, Lindsey was in private practice with an AmLaw 100 law firm where her practice focused on mergers and acquisitions, financings and serving as outside general counsel to public and private clients in a variety of industries.

Finance & Securities

  • Advised a real estate investment and management firm in connection with the structuring and formation of single- and multi-asset investment funds.
  • Represented an international provider of solar powered solutions in the negotiation of its $200M secured credit facility.
  • Acted as local U.S. counsel for a UK-based environmental sustainability consultancy service business in the negotiation of its credit facility with Investec Bank PLC.

Mergers & Acquisitions

  • Advised a privately held packaging and label solution provider on the auction process and equity sale of the holding company and its subsidiaries.
  • Represented quick service restaurant franchisees on various acquisitions and sales of portfolios of franchised store locations, including the related real estate.
  • Advised a publicly traded payroll and human resources software provider in a series of asset purchases of privately held payroll processing and office solution providers.

Public Companies & Capital Markets

  • Represented a public company provider of solar power solutions in its $200M ATM offering.
  • Company counsel to Two Harbors Investment Corp. (NYSE:TWO), an MSR and Agency RMBS focused REIT, in its $115M public offering of senior unsecured debt.
  • Represented a publicly traded technology company in a series of registered offerings of senior secured notes and warrants.
