Overview
Nathan manages the contracts behind Fredrikson’s vendor and technology relationships, pairing negotiation with process design and the firm’s hands-on adoption of generative AI.
As Fredrikson’s Contracts Counsel, Nathan reviews, negotiates and manages the firm’s 300-plus vendor relationships, with a concentration in software and technology. His work spans master service agreements (MSAs), SaaS agreements, statements of work (SOWs), nondisclosure agreements (NDAs), data processing agreements (DPAs), engagement letters and amendments, with particular attention to limitation of liability, indemnification, data security and privacy, and SOW-to-MSA alignment. Nathan treats contracting as a system to be improved, not just a stack of documents to review. He redesigned the firm’s vendor contract lifecycle, from intake through turnaround and escalation, to make the work faster, cleaner and better aligned with the firm’s risk posture.
Nathan also assists with much of Fredrikson’s hands-on work on generative AI, where the value lies less in the tools than in the judgment to apply them. He identifies which contract and legal tasks the technology can responsibly support, designs the workflows and custom Copilot Studio agents behind them, and develops the firm’s AI training and internal guidance. Before joining Fredrikson, he spent nearly a decade as Contracts Negotiator for a multinational corporation, leading negotiations with large clients and supporting North American sales and sourcing teams, and he earlier led national legal project operations.
Experience
- Redesigned the firm’s vendor contract lifecycle, including the intake form, turnaround policy and escalation workflow, to speed review while maintaining risk controls.
- Negotiates enterprise software, SaaS and data processing agreements across a portfolio of more than 300 active vendors, with a focus on limitation of liability, indemnification, and data security and privacy.
- Leverages multiple firm-approved AI tools, including Microsoft 365 Copilot and custom agents built in Copilot Studio, to make contract review and negotiation faster and more consistent.
- Helps train attorneys and staff across the firm on best practices for using generative AI in their day-to-day work and develops the supporting reference materials.
