He also assists publicly and privately held companies with private and public offerings of securities, corporate governance matters, mergers and acquisitions, and other general business issues.

Experience

Public Companies & Capital Markets

Andrew serves as outside securities counsel for public companies. He serves as issuers and underwriters counsel in connection with IPOs, secondary offerings and private investments in public equity (PIPE), as well as private placements of equity and debt securities. Additionally, he advises issuers on compliance and corporate governance matters, including periodic disclosures, national stock exchange standards, and board of director and committee matters.

Mergers & Acquisitions

Andrew is known for his ability to manage sophisticated transactions effectively, cost efficiently, and with full consideration of the stakeholders involved. He helps clients navigate the complexities of buy-side and sell-side mergers and acquisitions, control and minority investments, growth equity investments, distressed company transactions, cross-border transactions, and joint ventures.

Venture Capital & Financing

Andrew helps private companies in the start-up and development stages register and sell securities to finance their operations. He is skilled at negotiating financial documents so that his clients hit the right balance of control and funding to achieve their growth goals.

Corporate Restructuring

Andrews assists companies that need to reduce or restructure their form arising from such conditions as unwieldy complexity or disproportionate subsidiaries or a geographical footprint inconsistent with business strategy.
